Location: Chandler AZ Pay $130K-$150k Schedule: M-F 100% remote Responsibilities:
Provide legal advice and guidance on corporate matters, including contract negotiation, corporate governance, mergers and acquisitions, securities, and regulatory compliance.
Draft, review, and negotiate a variety of legal documents, including contracts, agreements, and corporate policies.
Conduct legal research and analysis to support decision-making and ensure compliance with applicable laws and regulations.
Assist in the due diligence process for mergers, acquisitions, and other corporate transactions.
Advise on corporate governance matters and ensure compliance with corporate policies and procedures.
Collaborate with cross-functional teams to identify legal risks and develop strategies to mitigate them.
Stay updated on changes in relevant laws, regulations, and industry trends that may impact the company's operations.
Handle and manage external legal counsel when necessary.
Support the legal department in developing and implementing best practices, templates, and processes.
Provide legal training and guidance to internal stakeholders as needed.
Qualifications:
Juris Doctor (J.D.) degree from an accredited law school.
Admission to the State Bar and in good standing.
Minimum of 5 years of experience practicing corporate law, preferably in a law firm or corporate legal department.
Strong knowledge of corporate law, contracts, securities regulations, and corporate governance principles.
Experience with mergers and acquisitions, corporate finance, and securities offerings is highly desirable.
Excellent analytical, problem-solving, and negotiation skills.
Strong written and verbal communication abilities.
Ability to work independently and manage multiple tasks and priorities.
Attention to detail and a high level of accuracy in work product.
Team player with excellent interpersonal skills and the ability to collaborate effectively across different departments.
