The Director / Sr. Director, Commercial Legal reports to the VP, Legal Affairs & Chief Compliance Officer of Guardant Health. This role is crucial to the continued growth and evolution of Guardant as we expand our core business to offer products across the entire cancer continuum. To be successful in this role, you must have the ability to anticipate and assess legal and business risks associated with complex deal structures and transactions, communicate recommendations to senior business leaders, and advise on acceptable risk levels in line with the company’s business objectives. You will be expected to draft and negotiate complex licensing and strategic commercial agreements and develop pragmatic and innovative solutions to complex legal issues and business structures.

We are seeking an experienced, strategic transactional attorney with expertise in structuring, drafting and negotiating complex licensing and strategic alliance transactions. The ideal candidate will have experience in creating and implementing innovative solutions to complex legal and business issues related to strategic alliances and partnerships with a wide range of customers including pharmaceutical partners, clinical institutions, academic and technology partners, and platform vendors.

The Director/Sr. Director, Commercial Legal will provide legal advice and guidance to the members of the Oncology and Screening divisions on a wide variety of complex commercial and contractual matters.

Responsibilities

  • Provide hands-on legal support in all aspects of structuring, drafting, negotiating, and interpreting a variety of legal agreements including biopharma companion diagnostic agreements, data sharing agreements, laboratory services agreements strategic partnership agreements, and counseling on risks relating to strategic transactions, business development or commercial alliance arrangements with domestic and international third parties
  • Develop a strong rapport and working relationship with business counterparts across the Oncology and Screening divisions to help drive the delivery of effective legal services
  • Work with the members of the Commercial Legal team and others on process and contracting improvements to help create greater consistency and process within the organization, including appropriate contract standardization and contract process improvement.
  • Develop an in-depth knowledge and understanding of Guardant’s multifaceted business, its markets, products, customers, competitors and regulatory environment, in order to identify trends, stay abreast of material developments and provide high level legal/commercial advice to the businesses on emerging opportunities and risks.

Qualifications

Excellent analytical and contract interpretation skills, and an ability to communicate complex issues in a simple way. Excellent interpersonal skills, ability to develop relationships with key stakeholders, good conflict management and negotiation skills, and the ability to analyze complex issues to develop practical solutions and best outcomes.

  • J.D. from a nationally recognized law school and member of a state bar (California preferred).
  • At least 7 to 9 years of legal experience (large law firm and/or in-house experience) with exposure to complex commercial contracts, patenting in healthcare and IP licensing.
  • Demonstrated experience drafting and negotiating contracts, with an emphasis on understanding life sciences transactions and associated intellectual property issues.
  • Experience working as in-house or external counsel in the biotechnology industry; bachelor/graduate degree in the biological sciences; and/or excellent academic credentials in intellectual property, and contracts law.
  • Familiarity with HIPAA and HITECH laws, healthcare fraud and abuse laws desired, but not necessary.
  • Personal integrity and ethics in business conduct.
  • Sound business judgment and strategic thinking, with the ability to define business tradeoffs, generate creative solutions and anticipate the impact of decisions.
  • Strong written and verbal communication skills.
  • Ability to form quality working relationships with other employees and partners.
  • Well-organized, responsive and hardworking, with the capacity to handle a variety of complex matters and ability to manage projects under deadline pressure.
  • Willing to accept full ownership of work product and deliver the highest quality results.
  • Flexibility working on a variety of legal matters to understand and advise across company functions, effectively present ideas and contribute to decision making.
