Your Role Reporting to the Vice President, Corporate Development, the role of the Senior Director Corporate Development & Integration is critical to the success of Blue Shield of California (BSC) in realizing its goals and objectives. This individual will play a key role as part of Corporate Development team in delivering and collaborating on all aspects of mergers & acquisitions, and subsequent integration of acquired companies into Blue Shield of California (BSC) and/or its subsidiaries, including Altais.Your Work In this role, you will: Mergers & Acquisitions- Drive inorganic growth opportunities for Blue Shield of California (BSC) and its subsidiaries, including Altais.
- Provide transaction leadership and support, help set deal strategy, manage transaction budgets, manage vendors supporting the transaction; manage due diligence workstreams, set up deal organization per BSC protocols, identify cross-functional issues and facilitate escalation and resolution as needed, work closely with internal and external cross functional subject matter experts.
- Drive the development and operations of the Integration and Separation activities including standing up governance, functional planning teams, and leadership reporting.
- Work with senior leadership at the corporate, business unit, and functional level to configure the high-level operating model for the integrated or post-separation business to guide detailed planning.
- Partner with external advisors to drive planning/separation workstreams to completion and to plan/manage Day 1 Readiness activities.
- Drive the integration of acquired companies including the planning and execution of organizational integration within business operational environments including the development of post-close integration plans, tracking value capture opportunities to ensure the deal-related value / synergies are realized.
- Manage the ongoing refinement and delivery of the methods and tools to be used to support pre-deal analysis and post-merger integration activities.
- Create an integration playbook to manage current and future integrations.
- Drive the day-to-day management of program's progress against key milestones including coordinating cross-workstream dependencies, communication and change management plans to ensure stakeholders are informed of process milestones, risks and issues, and document of risks, issues, actions, and decisions to inform decision-making process.
- Create, analyze and document program objectives and requirements across the organization. Facilitate activities across the functional and business teams to scope project, identify resource requirements, and articulate deliverables and develop timetables.
- Create consolidated program milestones, interdependencies and communication plans.
- Coordinate efforts of internal process owners and subject matter experts. Facilitate working sessions to define transition plans, activities and contingency plans to eliminate obstacles and achieve on-time and on-budget completion of the various program transition events (including closing and any subsequent platform, data, customer migrations, etc.).
- Support the creation of efforts to stand up the company's foundation and structure.
- Support development of vision, mission, values and strategic architecture and blueprint.
- Support business cases development including financial modeling and development of standardized metrics for requesting funding.
- Review all contracts and business proposals related to external consultants, vendors.
- Organize workstreams, efforts and activities and report out as necessary to various levels (executives, board, team leads, consultants).
- Implement budget tracking tools and templates for use across integration teams; defines processes, timelines for ongoing tracking and reporting activities; collects, refines and consolidates synergy/budget data for integration team and executive reporting.
- Lead real estate strategy and configuration for HoldCo in Oakland Headquarters.
- Develop and drives roadmap for systems support (e.g. Accounting system, HR system, Data system, etc.).
- Support other ad hoc requests, as needed.
- Requires a bachelor's degree or equivalent experience
- Requires at least 10 years of prior relevant experience, including 6 years of management experience
- Strong experience with financial analysis and modeling
- Experience leading enterprise-wide strategic initiatives
- Master's degree preferred; emphasis on healthcare administration, financial analysis
- 15 years of prior relevant experience
