Job Description

Exelixis is seeking a Manager of Stock Plan Administration to participate in all aspects of the company’s equity programs. The ideal candidate will share their previous stock administration experience and attention to customer service to help us grow and scale our capabilities to support the growth of Exelixis. This position will collaborate with various functions across the company in performing regular activities including Payroll, SEC reporting, Tax, Legal and HR functions.

Qualifications

ESSENTIAL DUTIES AND RESPONSIBILITIES: Administration of stock plans, including processing stock option and restricted stock unit grants, exercises and releases, cancellations and terminations; Administer Employee Stock Purchase Plans, including enrollments, auditing contributions and reporting; Assist in development and maintenance of policies and procedures related to stock administration; Assist in implementing process improvements and supporting automation initiatives; Provide quarter end and annual reporting; Assist in Form 4 filings; Provide data for 10-Q, 10-K, Proxy Statements and D&O questionnaires; Reconcile monthly equity activity, including shares outstanding and share reserves among company records, the transfer agent and broker records. Ensure SOX compliance and maintenance of internal controls

SUPERVISORY RESPONSIBILITIES: None

EDUCATION/EXPERIENCE/SKILLS: Education: BS/BA degree in related discipline and seven years of related experience; or, MS/MA degree in related discipline and five year of related experience; or, Equivalent combination of education and experience. Certified Equity Professional (CEP) certification preferred.

Experience: Experience using stock administration systems for data entry and reporting, preferably experience with Equity Edge; Five to seven years of related finance organization experience including stock administration experience.

Knowledge/Skills/Abilities: Knowledgeable about federal and state taxation relating to equity compensation; Familiarity with US GAAP accounting standards related to equity compensation (ASC 718); Strong excel skills; Ability to establish and maintain positive relationships with stock plan participants; Excellent written and verbal communication skills; ability to effectively communicate across departments and levels.
