Our client, a leading global financial services company, has approximately 200 million customer accounts and does business in more than 140 countries. They provide consumers, corporations, governments and institutions with financial products and services, including consumer banking and credit, corporate and investment banking, securities brokerage, transaction services, and wealth management.

Role: Implementation Specialist

Candidate will be assisting the New York DR Implementation team in connection with the implementation of ADR and GDR programs. The specific duties for the candidate include but are not limited to the following:

• Receive new deal appointment, including preliminary deal information.• Open a transaction file.• Appoint appropriate legal counsel top represent a Major Global Bank.• Initiate Implementation checklist procedure, including transaction tracking systems entries.• Review initial draft documentation (Deposit Agreement, F-6 registration statement, draft offering prospectus etc.), and provide comments as warranted.• Obtain relevant information and security codes and submit information to Client's Transfer agent (Computershare) for registrar and transfer system installation.• Install the issue on Clients internal securities processing system.• Appoint local market relationship bank to act as ordinary share custodian.• Finalize transaction documentation with Client legal counsel (Deposit Agreement, F-6 registration statement, closing letters and certifications, and legal opinions).• Coordinate closing & effectiveness plan with lead underwriter, Common Depositary, clearing & settlement system, DR Operations and Computershare, as applicable.• Confirm receipt of all documentation requirements including underlying ordinary share receipt confirmation from the custodian, and legal documentation requirements from Client's legal counsel.• Upon confirmation that all of the closing conditions have been, authorize the release and delivery of DRs into the designated clearing and settlement system (DTC, Euroclear, Clearstream).• Submit required operational documents to DR Broker Services/Operations and Computershare to process transaction on the applicable systems.• Circulate Operations Memorandum summarizing the terms of the transaction.• Complete transaction checklist for review and approval.• Close out Transaction file.
