Software Guidance & Assistance, Inc., (SGA), is searching for a Remote Paralegal for a Contract assignment with one of our premier Financial Services. We are seeking a corporate governance legal assistant who will primarily provide the Corporate Secretary's Office with governance support and the Legal Affairs Organization with a diverse range of functions. This associate will have experience assisting with board and committee meetings, among other corporate governance tasks described below. The ideal candidate should possess excellent organizational, advanced technical skills, detail-oriented, fine judgment, strong interpersonal skills, be self-motivated and a team-player. Additionally, the successful incumbent will have knowledge with preparation, review and filing of SEC disclosure (including Form 8-K, Form 10-Q, Form 10-K, proxy statements and Section 16 filings). Confidentiality a MUST. Responsibilities :
- Aid with board & committee meetings with preparing and maintaining meeting schedules, drafting documents, agendas, resolutions, consents, minutes, etc.; support directors with meeting and administrative matters.
- Work with senior personnel, including attorneys and Corporate Secretary to gather, review, analyze documents.
- Onboard Directors-experience preparing biographical affidavits.
- Ensure accurate updating of global subsidiaries (GEMS) & organizational chart changes.
- Prepare documents for notarization and apostille.
- Assist with Director Compensation, Financial Authorities Delegations.
- Ability to work independently and as a team.
- Assist with preparation, review and filing of SEC disclosure (including Form 8-K, Form 10-Q, Form 10-K, proxy statements and Section 16 filings).
- Maintain SharePoint site according to policies.
- Ability to collect, draft, and analyze documents efficiently.
- 3+ years' experience in corporate governance.
- Must have knowledge with preparation, review and filing of SEC disclosure (including Form 8-K, Form 10-Q, Form 10-K, proxy statements and Section 16 filings)
- Self-starter & ability to work independently and in a team.
- Strong oral and written communication skills.
- Experience working with senior executives. Exposure to Board members a plus.
- Strong time management and prioritization skills.
- Proficient in Word, Excel, PowerPoint, eDocs, SharePoint, Outlook, Workshare Compare, Westlaw/Lexis. GEMS and BoardVantage a plus.
- Ability to learn new skills and systems quickly.
- Bachelor's Degree or Paralegal Degree or certificate.
