As a Mergers and Acquisitions Expert within PNC's Finance organization, you will be based in Pittsburgh, PA. The position is primarily based in a PNC location. Responsibilities require time in the office or in the field on a regular basis. Some responsibilities may be performed remotely, at the manager’s discretion.The M&A group assists all areas of PNC in fulfilling enterprise level and/or line of business specific strategic objectives and other projects including execution of acquisitions, divestitures, and investments, strategic analysis of potential targets, development of recovery and resolution plans, and goodwill impairment testing.Job Description

Leads / oversees full due diligence process and analysis of target companies including working and mentoring more junior M&A team members and external representatives, such as target company personnel and/or investment bankers. Reviews due diligence reports and incorporates all relevant information into the financial analysis and approval presentation materials.

Leads the development of multiple, sometimes complex, valuation analyses by working with junior MA& staff and works with appropriate lines of business and staff areas in the development of financial forecasts related to mergers and acquisitions transactions. Presents recommendations to managers.

Lead preparation, review and approval process for all mergers and acquisitions transactions and all strategic investments to ensure the process is completed within PNC's risk and compliance guidelines. May present to senior management and PNC's Board of Directors, if applicable.

Works with business executives to analyze mergers and acquisitions target companies. Analyzes the market and searches for other assets that can be acquired in a mergers and acquisitions transaction. Participates in contract negotiations, focused on key terms terms related to payments / purchase price calculation, closing conditions and indemnification.

Makes recommendation on transactions terms and positioning. Often interacts directly with regulators, investment bankers, legal and internal and external auditors. May also lead the development of PNC’s recovery and resolution plans including partnering with internal resources to develop resolution and recovery options strategy and confirm the regulatory requirements are met.

May lead / perform analysis and prepare presentations for other initiatives such as the development of the strategic plan for the company, goodwill, and other company projects.
