Based in our Brentwood, TN office, you will serve as legal counsel to multiple Delek businesses, offering innovative legal strategies to navigate contract requirements, negotiations, obligations, claims, and exposures.EDUCATION AND EXPERIENCE

4 year / Bachelor's Degree (Required)

Juris Doctorate Degree (Required)

In lieu of the above education requirements, an equivalent combination of education and experience may be considered.

Six (6) or more years Litigation experience and progressive management experience (Required)

Ten (10) or more years In-house or law firm experience (Required)

No Licensure or Certification Required.

Assesses and identifies potential areas of compliance vulnerability and risk; develop and implement corrective action plans for resolution of problematic issues, and provide general guidance on how to avoid or deal with similar situations in the future

Draft, review, and negotiate a diverse range of commercial agreements, including offtake agreements, transportation services, supply and procurement contracts, joint venture agreements, construction contracts, and service agreements.

Provide strategic legal advice on contract terms, conditions, and risks to safeguard the company’s interests while aligning with business objectives.

Lead negotiations with key stakeholders, customers, suppliers, and partners, ensuring contracts comply with business strategy and legal requirements.

Advise internal business units on potential risks associated with commercial transactions, including liability, indemnity, insurance, and regulatory compliance matters.

Collaborate with finance, procurement, and operational teams to devise strategies for mitigating risks in contractual arrangements.

Ensure compliance of commercial contracts with federal, state, and international regulations relevant to the energy industry.

Provide legal support in significant transactions such as mergers, acquisitions, divestitures, and joint ventures, focusing on commercial and contractual aspects.

Oversee due diligence related to commercial agreements in potential transactions and advise on deal structuring from a legal and risk perspective.

Partner with internal teams, including procurement, sales, project management, and operations, to align commercial agreements with company objectives and policies.

Serve as the primary legal contact for business units on commercial transactions, offering timely and actionable advice.

Implement and maintain best practices for contract management, including systems for tracking contract terms, obligations, and renewals.

Train business teams on contract processes, terms, and legal requirements to ensure adherence to company policies and regulatory frameworks.

Manage disputes arising from commercial agreements, including contract breaches, performance issues, and liability claims.

Lead internal investigations and collaborate with external counsel as needed for arbitration, mediation, or litigation related to commercial contracts.

Provide a full range of legal advice and services as an attorney, potentially serving as counsel to specific business units or as a corporate-level subject matter expert in disciplines such as employment law, intellectual property, or litigation.

Assess and identify potential areas of compliance vulnerability and risk; develop and implement corrective action plans for resolution of problematic issues.

Collaborate closely with the General Counsel and colleagues in Legal, Corporate & Securities counsel, Internal Audit, Risk Management, HR, Finance, and other core functions to further business and compliance objectives

Engage with the Board of Directors to report, advise, and develop compliance-related programs

Acts as a business partner to drive integrity and compliance (internal and external) matters of major importance to the company and provide information and counsel on matters related to all aspects of compliance, including reporting ongoing compliance, fraud, waste, and abuse

Collaborates closely with the General Counsel and colleagues in Legal, Corporate & Securities counsel, Internal Audit, Risk Management, HR, Finance, and other core functions to further business and Compliance Program objectives

Monitors and audits and, as necessary, helps coordinate compliance activities across the enterprise

Engages with the Board of Directors to report, advise and develop compliancerelated programs and procedures
